These Terms and Conditions (the "Terms") govern your access to and use of the website located at www.thechandericedar.com (the "Site") and your purchase of any products from The Chanderi Cedar ("we," "us," "our," or the "Company"). Please read these Terms carefully. By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, and Return & Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Site or place an order.

These Terms form a legally binding agreement. Electronic acceptance, for example, clicking "I agree" or completing a purchase, is valid and enforceable under the Electronic Transactions Act, SBC 2001, c. 10 and Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), SC 2000, c. 5, Part 2, electronic documents and signatures.

1. Definitions

In these Terms, unless the context requires otherwise:

"Consumer" means an individual who purchases Products primarily for personal, family or household purposes, as understood under the Business Practices and Consumer Protection Act, SBC 2004, c. 2 ("BPCPA").

"Content" means all text, images, photographs, graphics, logos, designs, audio, video, software and other material available on the Site.

"Order" means your offer to purchase Products through the Site.

"Products" means the goods we offer for sale, including textiles, fabrics, apparel, dupattas, stoles, home and décor items, jewellery, accessories and related handcrafted goods.

"You" or "your" means the person accessing the Site or placing an Order.

"Wholesale/B2B Order" means an Order placed by a business for the purposes of resale or for use in the course of a business.

3. Eligibility and Legal Capacity

You may use the Site and place Orders only if you are able to form a legally binding contract. In British Columbia, the age of majority is 19 (Age of Majority Act, RSBC 1996, c. 7). By placing an Order, you represent that you are at least the age of majority in your jurisdiction, or that you are using the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

We do not knowingly sell Products to children. If you are a minor in your jurisdiction, you may use the Site only with the involvement of a parent or guardian. Certain Products may carry age, safety or supervision considerations, for example, small parts in some décor or jewellery items, or products that are not toys; you are responsible for using Products appropriately. Products are not designed or certified as children's products unless expressly stated, and you should not give non-toy items to children as toys. We comply with the Canada Consumer Product Safety Act, SC 2010, c. 21 in respect of consumer products we supply.

4. Your Account

You may browse the Site without an account, but you may need one to place an Order. You agree to:

(a) provide accurate, current and complete information; (b) keep your login credentials confidential and not share them; (c) be responsible for all activity that occurs under your account; and (d) notify us promptly of any unauthorised use.

We may suspend or terminate an account that we reasonably believe has been used in breach of these Terms, for fraudulent activity, or as required by law. We handle the personal information associated with your account in accordance with our Privacy Policy and applicable privacy laws (see Section 18).

5. Our Products, Handcrafted Nature and Descriptions

5.1 Handcrafted, artisanal goods. Many of our Products are handwoven, hand-block-printed, hand-dyed, hand-embroidered or otherwise handmade by artisans using traditional techniques and, in some cases, natural fibres and natural dyes. As a result, each piece is unique. Minor variations in colour, weave, print alignment, slubs, irregularities, dimensions, weight and finish are inherent characteristics of handmade goods, they are not defects and do not affect the authenticity or quality of the item. Such natural variation is part of what you are purchasing.

5.2 Colour and display. We make reasonable efforts to display Products accurately, but the actual colour, texture and appearance you receive may differ from what appears on your screen due to differences in monitors, devices, screen settings, lighting and photography. We do not warrant that colours shown on the Site are exact.

5.3 Measurements and materials. Dimensions, weights and fibre content are provided as approximate guides. Where required by the Textile Labelling Act, RSC 1985, c. T-10 and the Textile Labelling and Advertising Regulations, CRC, c. 1551, textile Products carry fibre-content and dealer information; care instructions are provided where applicable. Please follow the care instructions supplied, as improper washing or handling may damage handcrafted and naturally dyed items, including colour bleeding from natural dyes on first washes, which is normal.

5.4 Authenticity and origin claims. Where we describe a Product as handmade, handloom, a particular regional craft, natural-dyed, or sourced from particular artisans, we make those statements in good faith and to the best of our knowledge. We do not knowingly make false or misleading representations, consistent with the Competition Act, RSC 1985, c. C-34.

5.5 Availability. All Products are offered subject to availability. Because handcrafted stock is limited and often one-of-a-kind, we may discontinue, limit quantities of, or stop offering any Product at any time without liability to you.

6. Intellectual Property

6.1 Our Content. All Content on the Site, including the name "The Chanderi Cedar," our logos, designs, layout, product photography, descriptions, graphics and compilations, is owned by us or our licensors and is protected by the Copyright Act, RSC 1985, c. C-42, the Trademarks Act, RSC 1985, c. T-13, and applicable international intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, scrape, data-mine, or create derivative works from any Content without our prior written consent.

6.2 Limited licence to you. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your personal, non-commercial use, and to use product images solely as needed to complete and keep a record of your own purchase. This licence does not permit commercial use, resale of Content, or use of our trademarks.

6.3 Artisan and traditional designs. Some Products incorporate traditional motifs, techniques and cultural heritage belonging to artisan communities. Purchasing a Product does not transfer to you any intellectual-property or cultural rights in the underlying design, technique or motif; you acquire ownership of the physical item only.

6.4 Feedback. If you send us suggestions or feedback, you agree we may use them without restriction or compensation to you.

7. Prices, Currency and Taxes

7.1 Currency. Prices are displayed in Canadian Dollars (CAD) unless otherwise stated. If we display prices in other currencies, conversion is approximate and the amount charged may vary due to exchange rates and your payment provider's fees.

7.2 All-in pricing. We strive to present prices clearly and without hidden mandatory fees, consistent with the prohibition on "drip pricing" and misleading price representations under the Competition Act, RSC 1985, c. C-34. Applicable taxes and shipping are shown before you confirm your Order.

7.3 Taxes. Prices may be exclusive of taxes unless stated. We will collect and remit federal Goods and Services Tax / Harmonized Sales Tax (GST/HST) under the Excise Tax Act, RSC 1985, c. E-15, and British Columbia Provincial Sales Tax (PST) under the Provincial Sales Tax Act, SBC 2012, c. 35, where we are required to do so based on the destination and nature of the Products. For international shipments, see Section 11 regarding import duties and foreign taxes, which are your responsibility.

7.4 Pricing errors. Despite our efforts, Products may occasionally be mispriced. If a Product's correct price is higher than the price shown, we may, before shipping, either contact you for instructions or cancel the Order and notify you. We are not obligated to honour an obvious pricing error, and any acceptance of your Order is subject to this clause.

7.5 Changes. We may change prices at any time, but changes do not affect Orders we have already accepted.

8. Orders and Formation of Contract

8.1 Invitation, not offer. The display of Products on the Site is an invitation to treat, not an offer to sell. Your submission of an Order is an offer by you to purchase the Products subject to these Terms.

8.2 Order acknowledgement vs. acceptance. An automatic email acknowledging receipt of your Order does not constitute acceptance. A binding contract is formed only when we send you a confirmation that your Order, or part of it, has been accepted and/or dispatched.

8.3 Right to refuse. We may refuse, cancel or limit any Order at our discretion, including where a Product is unavailable; there is a pricing or description error; we suspect fraud, reseller activity contrary to our policies, or a breach of these Terms; we cannot obtain authorisation for payment; or we are unable to ship to your location.

8.4 Quantity limits. We may limit quantities purchased per person, per household or per Order.

9. Payment

9.1 Authorised payment methods. You must pay using one of the methods we make available at checkout, for example, credit/debit cards, Shopify Payments, PayPal, Apple Pay and Google Pay.

9.2 Third-party processors and card security. Payments are processed by third-party payment service providers. We do not store full payment-card numbers on our systems; card data is handled by providers that maintain PCI DSS compliance.

9.3 Authorisation and fraud screening. We and our providers may carry out verification and fraud-prevention checks before accepting an Order.

9.4 Currency conversion and fees. Your bank or card issuer may apply foreign-transaction, conversion or other fees; these are your responsibility.

10. Promotions, Discount Codes and Gift Cards

Promotions, coupons and discount codes are subject to their specific terms, cannot be combined unless stated, have no cash value, and may be withdrawn or amended at any time. We may cancel Orders and codes obtained through error, fraud, or in breach of a promotion's terms. Gift cards, if offered, are subject to applicable rules under the BPCPA governing prepaid purchase cards.

11. Shipping, Delivery, Title and Risk

11.1 Shipping destinations and times. We ship within Canada and to the international destinations listed at checkout. Estimated processing and delivery times are estimates only and are not guaranteed unless expressly agreed otherwise in writing.

11.2 Statutory delivery right. For Consumers, where we are unable to supply the Products within 30 days after the date for supply, you may have the right to cancel and obtain a refund under the distance-sales provisions of the BPCPA.

11.3 Title. Ownership in the Products passes to you only when we have received payment in full and the Products have been dispatched.

11.4 Risk of loss. For Consumer Orders, risk passes when you take physical possession of the Products. For Wholesale/B2B Orders, risk passes when the Products are handed to the carrier, unless otherwise agreed.

11.5 International shipments, duties, taxes and customs. For international Orders, you are the importer of record. You are responsible for all import duties, customs charges, brokerage fees, GST/VAT/sales taxes and other levies imposed by the destination country.

11.6 Inspection. Please inspect Products on delivery and report any damage, defect or shortage promptly.

11.7 Incorrect address. You are responsible for providing a complete, accurate delivery address.

12. Cancellation, Returns, Refunds and Exchanges

12.1 Our voluntary return policy. We accept returns/exchanges of eligible Products within 14 days of delivery, provided the Product is unused, unwashed, undamaged, with tags and original packaging intact, and accompanied by proof of purchase.

12.2 Items that may be non-returnable. Custom, made-to-order, cut-to-length or personalised items; pierced jewellery and earrings; intimate or personal-care items; sale/clearance items marked final sale; and gift cards may be excluded from voluntary returns where lawful.

12.3 Statutory cancellation and consumer rights. Nothing in this Section limits any non-waivable statutory right you have, including cancellation rights under the BPCPA, EU/EEA consumer withdrawal rights, and United Kingdom consumer rights.

12.4 Refunds. Approved refunds are issued to your original payment method within a reasonable time after we receive and inspect the returned Product.

12.5 Defective or incorrect Products. If you receive a Product that is damaged in transit, defective, or not what you ordered, contact us within 7 days of delivery with photographs.

13. Consumer Rights and Statutory Warranties

13.1 Implied warranties under BC law. Where you deal as a Consumer, your purchase carries statutory conditions and warranties implied by the Sale of Goods Act, RSBC 1996, c. 410.

13.2 These rights cannot be excluded. In a retail sale to a Consumer, these implied conditions and warranties cannot be contracted out of, negated or diminished.

13.3 Other jurisdictions. Consumers outside British Columbia may have additional non-waivable statutory rights.

14. Disclaimers

Subject to Section 13 and to the extent permitted by applicable law, the Site and Content are provided "as is" and "as available," without warranties of any kind.

We do not warrant that information on the Site, including blog content, craft descriptions, care tips and cultural information, is complete, current or accurate.

This Section does not exclude or limit any liability that cannot be excluded or limited under applicable law.

15. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, data, goodwill or business opportunity.

Our total aggregate liability arising out of or relating to any Product or Order will not exceed the amount you actually paid for the Product giving rise to the claim.

Consumer carve-out. If you are a Consumer, the limitations and exclusions in this Section apply only to the extent permitted by law.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its directors, officers, employees and agents from and against claims, damages, losses, liabilities, costs and reasonable legal fees arising out of your breach of these Terms, your violation of any law or third-party right, or your misuse of the Site or Products.

17. User-Generated Content, Reviews and Submissions

If you post reviews, photographs, comments or other material, you grant us a worldwide, royalty-free, perpetual, non-exclusive, transferable, sub-licensable licence to use, reproduce, adapt, publish and display that User Content in connection with our business and marketing.

You represent that you own or have the rights to your User Content, that it is accurate, and that it does not infringe any third-party rights or any law.

Reviews must reflect genuine experience. We do not publish fake, incentivised-but-undisclosed, or materially misleading reviews.

18. Privacy and Data Protection

We collect, use and disclose personal information in accordance with our Privacy Policy and applicable privacy laws, including PIPA, PIPEDA, the EU GDPR, the UK GDPR and Data Protection Act 2018, and U.S. state privacy laws such as the California Consumer Privacy Act.

Marketing messages. Where we send commercial electronic messages, we comply with Canada's Anti-Spam Legislation and the CAN-SPAM Act.

Cross-border transfer. Your personal information may be transferred to and processed in other jurisdictions, subject to the safeguards described in our Privacy Policy.

19. Third-Party Links and Services

The Site may contain links to third-party websites, services or content, including payment processors, social media and shipping carriers. We do not control and are not responsible for third-party content, products or privacy practices.

20. Acceptable Use

You agree not to use the Site for any unlawful purpose; attempt to gain unauthorised access to the Site; introduce malware; scrape or harvest data without consent; infringe intellectual-property or privacy rights; place fraudulent Orders; or resell Products in breach of these Terms.

21. Wholesale and Business Customers

Wholesale/B2B Orders may be subject to a separate written agreement and minimum-order, payment and resale terms. Where you purchase in the course of a business, consumer-specific protections may not apply.

22. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, extreme weather, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labour disputes, supplier or artisan failure, carrier or postal disruption, customs action, power or internet outages, or governmental orders.

23. Suspension and Termination

We may suspend or terminate your access to the Site or your account, and decline to process Orders, if you breach these Terms, if we suspect fraud or unlawful activity, or as required by law.

24. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, the Site, or any Order are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there.

Subject to Section 25 and to any mandatory rights of Consumers to bring proceedings in their home jurisdiction, the courts of British Columbia have jurisdiction.

If you are a Consumer resident outside British Columbia, you may benefit from mandatory consumer-protection laws of your place of residence.

25. Dispute Resolution

25.1 Talk to us first. Most issues can be resolved quickly. Please contact us at hello@thechandericedar.com before starting formal proceedings.

25.2 Negotiation and optional arbitration. If we cannot resolve a dispute informally within 30 days, the parties may agree to resolve it by arbitration in British Columbia.

25.3 Small claims and tribunals. Nothing prevents a Consumer from pursuing remedies that cannot be waived.

25.4 Time limit. Claims must be commenced within the limitation period set by the Limitation Act, SBC 2012, c. 13, generally two years from discovery of the claim.

26. International Sale of Goods

For Orders involving cross-border sale of goods, the parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or to any Order, to the extent the parties may lawfully exclude it.

27. International Customers, Compliance and Language

27.1 Local law and import compliance. You are responsible for ensuring that your purchase and importation of Products complies with the laws of your country.

27.2 Export controls and sanctions. You represent that you are not located in, and will not use the Products in, any country or by any person subject to applicable Canadian or international trade sanctions or export controls.

27.3 Quebec customers. A French-language version is available on request, and mandatory protections apply to Quebec consumers where required by law.

27.4 Accessibility. We aim to make the Site accessible and to improve accessibility over time. If you encounter an accessibility barrier, please contact us.

28. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows when changes took effect. Changes are not retroactive and do not affect Orders already accepted. Your continued use of the Site or placing of new Orders after changes take effect constitutes acceptance of the updated Terms.

29. General Provisions

29.1 Entire agreement. These Terms, together with the Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and us regarding the Site and Orders.

29.2 Severability. If any provision is found unlawful or unenforceable, it will be severed or read down to the minimum extent necessary.

29.3 Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

29.4 Assignment. You may not assign your rights or obligations without our consent.

29.5 No third-party beneficiaries. Except as stated, these Terms do not create rights for any third party.

29.6 Notices. We may give notices by email to the address on your account or by posting on the Site.

29.7 Headings. Headings are for convenience only and do not affect interpretation.

29.8 Language. These Terms are drafted in English. Subject to Section 27.3, the English version governs to the extent permitted by law.
