Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the website at www.thechandericedar.com (the "Site"), operated by Deepika Shukla, carrying on business as The Chanderi Cedar ("we," "us," "our," or the "Company"). By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.

These Terms form a legally binding agreement. Electronic acceptance (for example, by using the Site) is valid and enforceable under the Electronic Transactions Act, SBC 2001, c. 10.

2. Eligibility

You may use the Site only if you can form a legally binding contract. In British Columbia, the age of majority is 19 (Age of Majority Act, RSBC 1996, c. 7). By using the Site you represent that you are at least the age of majority in your jurisdiction, or that you are using the Site under the supervision of a parent or guardian who agrees to these Terms.

3. Our Website — No Direct Sales; Purchases Through Marketplaces

The Site is an informational and brand website that showcases our handcrafted products, including textiles, fabrics, apparel, home and décor items, and accessories. We do not sell products or process payments through the Site.

All purchases of our products are made through third-party online marketplaces — currently Etsy, Amazon, Faire, The Folklore, Wolf & Badger etc. (which include both retail and wholesale platforms). Each marketplace operates its own checkout, payment processing, shipping, delivery, returns, and customer service, and your purchase is a contract between you and that marketplace and/or us as a seller on that platform, governed by the marketplace's own terms and policies. Where a marketplace's terms conflict with these Terms in relation to a purchase, the marketplace's terms govern that purchase.

We may provide links from the Site to our listings on these marketplaces. We do not control the marketplaces and are not responsible for their content, policies, or practices (see Section 11).

4. Product Information, Pricing, and Availability

4.1 Handcrafted, artisanal goods. Many of our products are handwoven, hand-block-printed, hand-dyed, or hand-embroidered using traditional techniques and, in some cases, natural fibres and dyes. As a result, each piece is unique. Minor variations in colour, weave, print, dimensions, weight, and finish are inherent characteristics of handmade goods — they are not defects.

4.2 Colour and display. The actual colour, texture, and appearance of a product may differ from how it appears on your screen, due to differences in monitors, devices, and photography.

4.3 Descriptions are for general information. Product images, descriptions, measurements, and materials shown on the Site are provided for general information and may be approximate. Where textile products are sold, fibre-content and care information is provided as required by the Textile Labelling Act, RSC 1985, c. T-10, and we aim to describe our products accurately and not misleadingly, consistent with the Competition Act, RSC 1985, c. C-34.

4.4 Pricing and availability. Any prices or availability shown on the Site are indicative only. The binding price, specifications, shipping options, and availability for any purchase are those shown on the relevant marketplace listing at the time of purchase, and may differ from the Site. Products are offered subject to availability and, because they are handcrafted, are often limited or one-of-a-kind.

5. Purchases and Your Consumer Rights

Because purchases occur on third-party marketplaces, the terms of sale — including payment, shipping, delivery times, cancellations, returns, refunds, and warranties — are governed by the applicable marketplace's policies and by the consumer-protection laws that apply to you.

Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law, including, for consumers in British Columbia, the Business Practices and Consumer Protection Act, SBC 2004, c. 2, and comparable laws elsewhere. As the maker and seller of our products, we stand behind their quality to the extent required by applicable law and by the relevant marketplace's policies.

6. Wholesale Enquiries

Some of our products are offered to businesses for resale through wholesale marketplaces (such as Faire and The Folklore) or by direct arrangement. Wholesale orders are intended for businesses, not consumers, and may be subject to a separate written agreement and to the relevant marketplace's terms. 7. Intellectual Property

7.1 Our content. All content on the Site — including the name "The Chanderi Cedar," our logos, designs, layout, product photography, descriptions, graphics, and compilations — is owned by us or our licensors and is protected by the Copyright Act, RSC 1985, c. C-42, the Trademarks Act, RSC 1985, c. T-13, and applicable international intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, scrape, data-mine, or create derivative works from any content without our prior written consent.

7.2 Limited licence to you. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your personal, non-commercial use. This licence does not permit commercial use, resale of content, or use of our trademarks.

7.3 Artisan and traditional designs. Some products incorporate traditional motifs, techniques, and cultural heritage belonging to artisan communities. Nothing on the Site transfers to you any intellectual-property or cultural rights in those designs, techniques, or motifs.

7.4 Feedback. If you send us suggestions or feedback, we may use them without restriction or compensation to you.

8. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose or in breach of these Terms; (b) attempt to gain unauthorised access to, interfere with, or disrupt the Site or its security; (c) introduce malware or harmful code; (d) scrape, harvest, or use automated means to collect data from the Site without our consent; (e) infringe our or others' intellectual-property or privacy rights; or (f) misrepresent your identity or affiliation. Misuse may also constitute offences under the Criminal Code, RSC 1985, c. C-46 (for example, unauthorised use of a computer or fraud) and other laws.

9. User-Generated Content

If the Site enables you to submit comments, images, or other material ("User Content"), you grant us a worldwide, royalty-free, non-exclusive, transferable, sub-licensable licence to use, reproduce, adapt, publish, and display that User Content in connection with our business. You represent that you own or have the rights to your User Content and that it does not infringe any third-party rights or any law. We may moderate, decline to publish, or remove User Content that is unlawful, infringing, misleading, or otherwise objectionable.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy (available on the Site), which forms part of these Terms and is consistent with the Personal Information Protection and Electronic Documents Act (PIPEDA), SC 2000, c. 5, British Columbia's Personal Information Protection Act, SBC 2003, c. 63, and other applicable privacy laws.

11. Third-Party Links and Marketplaces

The Site links to third-party websites and marketplaces (including Etsy, Amazon, Faire, The Folklore, and Wolf & Badger) that we do not control. We are not responsible for their content, products, terms, or privacy practices, and your dealings with them are solely between you and the third party. We encourage you to review their terms and privacy policies.

12. Disclaimers

12.1 To the extent permitted by applicable law, the Site and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that the Site will be uninterrupted, secure, error-free, or free of harmful components.

12.2 Information on the Site (including product, craft, and care information) is provided for general information only, and we do not warrant that it is complete, current, or accurate.

12.3 This Section does not exclude or limit any liability that cannot be excluded or limited under applicable law, including non-waivable consumer rights (Section 5) and liability for death or personal injury caused by negligence, or for fraud.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, and subject to Section 13.3, we (including our owner, employees, contractors, and agents) will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, goodwill, or business opportunity, arising out of or relating to your use of (or inability to use) the Site, whether in contract, tort (including negligence), statute, or otherwise, even if advised of the possibility of such damages.

13.2 To the extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed CAD $100. Liability for any product you purchase is governed by the applicable marketplace's terms and applicable consumer law, not by this Section.

13.3 Consumer carve-out. If you are a consumer, the limitations in this Section apply only to the extent permitted by law and do not limit liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its owner, employees, and agents from and against claims, damages, losses, liabilities, costs, and reasonable legal fees arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) your misuse of the Site. This does not apply to the extent a loss results from our own negligence or wrongdoing, and (for consumers) applies only as permitted by law.

15. Governing Law and Jurisdiction

15.1 These Terms and any dispute arising out of or in connection with them or the Site (including non-contractual disputes) are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.

15.2 Subject to Section 16 and to any mandatory rights of consumers to bring proceedings in their home jurisdiction, the courts of British Columbia have jurisdiction, consistent with the Court Jurisdiction and Proceedings Transfer Act, SBC 2003, c. 28.

15.3 If you use the Site from outside Canada, you do so on your own initiative and are responsible for compliance with your local laws. Purchases made through a marketplace are governed by that marketplace's terms and the laws applicable to that transaction.

16. Dispute Resolution

16.1 Talk to us first. Please contact us at hello@thechandericedar.com before starting formal proceedings, and we will try in good faith to resolve your concern.

16.2 Negotiation and (optional) arbitration. If we cannot resolve a dispute informally within 30 days, the parties may agree to resolve it by arbitration in British Columbia under the Arbitration Act, SBC 2020, c. 2.

16.3 Small claims and tribunals. Nothing in this Section prevents a consumer from pursuing remedies that cannot be waived, including a claim before a court or, in British Columbia, the Civil Resolution Tribunal under the Civil Resolution Tribunal Act, SBC 2012, c. 25, or a complaint to Consumer Protection BC or the Competition Bureau where applicable.

16.4 Time limit. Subject to any longer period required by law, claims must be commenced within the limitation period set by the Limitation Act, SBC 2012, c. 13.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows when changes took effect, and changes are not retroactive. Material changes will be posted on this page. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

18. General Provisions

18.1 Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site, and supersede prior agreements on that subject. Nothing limits liability for fraudulent misrepresentation.

18.2 Severability. If any provision is unlawful or unenforceable, it will be severed or read down to the minimum extent necessary, and the remaining provisions continue in effect.

18.3 Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

18.4 Assignment. You may not assign your rights or obligations without our consent. We may assign these Terms in connection with a reorganisation or sale of our business.

18.5 Notices. We may give notices by posting on the Site or by email. You may contact us using the details in Section 1.

18.6 Language. These Terms are drafted in English. For consumers in Quebec, a French-language version is available on request, consistent with the Charter of the French Language, CQLR c. C-11; where a French version is provided, it applies to those consumers.
